Small Business

Entity formation · Restructuring · Transactional services

Businesses need clarity in structure, agreements, and risk allocation. Whether you are forming an entity, restructuring ownership, or entering into contracts, the goal is durability and predictability.

Our approach is straightforward: define roles clearly, document expectations, and avoid unnecessary complexity. We focus on building systems that scale, not patchwork solutions.

01

Services

  • Entity Formation: LLCs, corporations, partnerships, and related documentation
  • Operating Agreements: Custom governance structures and member rights
  • Contracts: Service agreements, vendor contracts, licensing, and transactional documents
  • Restructuring: Ownership changes, entity conversions, and reorganization
  • Business Sales: Commercial Real Estate, Asset purchase agreements and transactional coordination
  • Commercial Real Estate: Hospitality, Retail (Leases), Office, and senior citizen centers

We do not handle litigation, employment law, tax planning, intellectual property registration, or regulatory compliance outside of standard transactional matters. If your matter requires specialized counsel, we will refer you to appropriate resources.

02

Intake Process

All new business matters begin with a consultation ($350 for 30 minutes). During that session, we:

  • Review your current situation and objectives
  • Identify potential legal and structural risks
  • Scope the matter and provide a clear quote before proceeding

Important: If, after reviewing your situation, we determine we cannot represent you, the consultation will be cancelled and no fee will be charged. When appropriate, we will refer you to another professional. If you decide to proceed after the consultation, the consultation fee is deemed earned and will be added to the total project cost. Most matters are handled on a flat-fee basis, with defined deliverables and timelines established at the outset.

03

Fees

Pricing is matter-specific and provided after the initial consultation. Complexity, entity structure, number of parties, and document volume all affect cost.

We do not bill by the hour for standard transactional work. Flat fees provide cost certainty and align incentives properly. For ongoing advisory relationships or complex multi-phase projects, we discuss alternative arrangements during the consultation.
